Job Description/Requirements

Our client is a reputable legal firm delivering outstanding legal services to a broad range of companies, private clients, and governments. They are currently looking to hire a Legal Associate (Mid Level /Senior ) -Finance & Project Practice in Lagos.
Job OverviewThe ideal candidates will work with and provide legal support to a dynamic and growing Transport and Infrastructure team, focused on the provision of legal advisory services to the private and public sectors in infrastructure projects, within the PPP framework for roads, railways and ports, as well as residential construction projects. The team also provide legal advisory services in the telecommunications, aviation, and power sector. The Associate will act as a key member of the team, with the responsibilities outlined below.
Job Responsibilities: Research:
Conduct legal research using laws, policies, regulations, new developments (domestic and international) relating to the core areas of the department;
Identifying legal principles and issues arising from facts/instructions;
Ability to conduct effective legal research on any area of the law;
Ability to understand legal instructions, critically analyse issues for determination and provide a preliminary response to client requests in sectors the team advises.
Prepare Legal advice and opinions:
To prepare legal opinions and reports on a wide varietyof issues with limited supervision;
Taking responsibility for daily management of instructions;
Ability to conceptualise facts and review applicable law for an in-depth analysis of issues.

Drafting and Review of Legal Documents:
Must be able to effectively understand, analyse and interpret client instructions into a final Memo/Opinion;
Must be able to present and meet with senior level officials in both public and private institutions;
Must be able to demonstrate working knowledge of the Telecomms, Infrastrucure, Construction, Aviation and Power sectors;
Drafting and/or review of agreeements and other transaction documents related to infrastructure sector in the public and private sector;
Drafting, reviewing and negotiating commercial contracts, including Concession agreements, Master Services agreements, Lease agreements,
Heads of agreements, Non-Disclosure agreements, Memoranda of Understanding etc;
Drafting, reviewing and negotiating standard Engineering and Construction contracts (FIDIC and JCT Contracts especially);.
Providing legal advice on general matters relating to private and public sector construction and infrastructure projects.
Due Diligence Exercise:
Assist the team/client to set up physical and/or electronic data rooms as necessary;
Prepare all relevant documents and paperwork necessary to coordinate the due diligence exercise;
Perform due diligence exercises and assist with queries and enquiries from the due diligence team with limited supervision;
Review all documents and information in physical and electronic data room;
Ability to navigate physical and e-data rooms;
Prepare a due diligence report or ‘Issues Memo’ for the client, based on information obtained from the data room.
Reports:
Prepare client bills and liaise with clients from time to time on outstanding bills and payments;
Prepare timesheet reports for clients.
Meetings: Participating in negotiations and discussions with key stakeholders in the relevant sectors.

Qualification & Requirements
Bachelor of Laws (LLB) and Call to the Nigerian Bar (BL) minimum; and Master of Laws (LLM) (advantageous).
Required Experience Minimum of three (3) – five (5) years’/Mid-Level experienced Lawyer and can suitably demonstrate handling legal advisory matters within a commercial law firm with particular exposure to corporate and finance law, due diligence exercises, Infrastructure Projects, Construction, Telecoms and contract drafting and administration.
Dealing with legal, contractual, regulatory and transaction issues and procedures related to construction, infrastructure and engineering
(including familiarity with FIDIC Books and JCT contracts). Candidate must have a passable knowledge of commercial law, including, but not limited to: Legal drafting; General contract law; Energy and Power law;Commercial and Transactional law; Engineering and Construction law; Telecommunications industry structure and business models; Aviation law and practice; taxation law.
