Job Description/Requirements
Key Responsibilities:
Legal Advisory and Compliance:Provide expert legal counsel and strategic advice to the CEO, board, and senior management on a wide range of legal matters, including contracts, mergers and acquisitions, intellectual property, and regulatory compliance.Stay up-to-date with changes in laws and regulations that may impact the company's operations and ensure proactive compliance.
Corporate Governance:Act as the Company Secretary, organizing and preparing board meetings, ensuring adherence to proper corporate governance procedures, and maintaining accurate records of board decisions and resolutions.Advise the board on matters relating to corporate governance best practices and fiduciary duties.
Contracts and Agreements:Draft, review, and negotiate a variety of contracts and agreements, including customer contracts, vendor agreements, and joint venture agreements.Ensure that contractual terms are favorable to the company and protect its interests.
Risk Management:Identify legal and regulatory risks faced by the company and develop strategies to mitigate them.Collaborate with relevant departments to implement risk management policies and procedures.
Dispute Resolution:Manage and oversee legal disputes and litigation involving the company, working closely with external counsel as needed.
Intellectual Property:Safeguard the company's intellectual property rights, including trademarks, patents, and copyrights.Monitor and respond to potential infringement issues.
Compliance Training and Awareness:Conduct compliance training sessions for employees and management to ensure awareness of legal requirements and company policies.
The Successful Applicant
Qualifications and Requirements:
Bachelor's degree in Law, with an active legal practicing certificate; Master's degree or additional qualifications in a related field is a plus. Proven experience as a legal counsel, company secretary, or similar role within the Packaging and Containers Manufacturing industry. In-depth knowledge of corporate law, contract law, intellectual property law, and regulatory compliance. Familiarity with international business laws and regulations is advantageous. Strong analytical and problem-solving skills, with a keen eye for detail. Excellent communication and negotiation abilities. Ability to work collaboratively with cross-functional teams and senior executives. High level of integrity and ethics.What's on Offer
