We are seeking an exceptional Associate in Corporate & Commercial Adisory to help draft and negotiate key corporate/commercial documents, including SPAs, shareholders’ agreements, JV agreements, investment documentation, etc.

Job Description/Requirements
Responsibilities:
- Drafting and negotiating key corporate/commercial documents, including SPAs, shareholders’ agreements, JV agreements, investment documentation, etc.
- Managing and conducting legal due diligence exercises.
- Advising on corporate restructurings, business registrations, and compliance with CAC, SEC, CBN, and related regulators.
- Supporting equity/debt financing transactions, particularly with startup and fintech clients.
- Advising clients on corporate governance, board matters, and regulatory strategy.
- Lead and support M&A, joint ventures, private equity, and business structuring.
- Draft and negotiate shareholder agreements, investment docs, and regulatory filings (SEC, CAC, CBN).
- Engage directly with clients, including startups, fintechs, tech companies, investors, and local businesses.
- Handle compliance reviews, capital raising support, and cross-border deals.
Requirements
- Minimum 5 years post-call legal experience, with at least 4 years in a corporate/commercial law practice.
- Demonstrable experience in M&A, PE/VC, and regulatory compliance.
- Strong drafting and negotiation skills; attention to detail is a must.
- Comfortable working in a fast-paced, client-facing environment.
- Excellent research, communication, and commercial awareness.
- Track record of leading transactions or supporting senior lawyers with minimal supervision.
