Job Description/Requirements

Responsibilities:

Advisory Services:

  • Provide expert advice and guidance on corporate governance practices, principles, and regulations to clients.
  • Assess clients' current governance structures and policies and recommend improvements to enhance transparency, accountability, and shareholder value.
  • Advise on best practices for board composition, structure, and functions, as well as the roles and responsibilities of directors and executives.

Policy Development and Implementation:

  • Assist clients in developing and implementing corporate governance policies, procedures, and frameworks tailored to their specific needs and objectives.
  • Support in drafting and reviewing governance-related documents, such as charters, codes of conduct, and board and committee mandates.

Board and Committee Support:

  • Provide support in organizing and facilitating board and committee meetings, including agenda preparation, meeting materials, and minutes.
  • Assist in conducting board evaluations and assessments to identify areas for improvement and ensure effective governance practices.


Regulatory Compliance:

  • Stay abreast of relevant laws, regulations, and corporate governance guidelines and advise clients on compliance requirements.
  • Assist in conducting compliance reviews and audits to assess adherence to regulatory standards and identify potential areas of risk.


Training and Education:

  • Develop and deliver training programs and workshops on corporate governance topics for directors, executives, and other stakeholders.
  • Provide ongoing education and support to clients to promote a culture of governance awareness and continuous improvement.


Stakeholder Engagement:

  • Engage with stakeholders, including investors, regulators, and industry associations, to understand emerging governance trends and best practices.
  • Build relationships with clients and key stakeholders to understand their governance needs and objectives and provide tailored solutions.


Requirements:

  • A bachelor's degree in business administration, law, finance, corporate governance, or a related field.
  • Advanced degrees such as an MBA, Master of Laws (LLM), or relevant professional certifications (e.g., Chartered Governance Professional) would an added advantage.
  • Substantial experience (typically at least 2 years) in corporate governance advisory roles, preferably within consulting firms, legal practices, or corporate advisory services.
  • Demonstrated expertise in advising clients on corporate governance matters, including policy development, board effectiveness, and regulatory compliance.


Knowledge and Skills:

  • In-depth understanding of corporate governance principles, frameworks, and best practices.
  • Strong knowledge of relevant laws, regulations, and governance codes applicable to different industries and jurisdictions.
  • Excellent analytical, problem-solving, and critical thinking skills, with the ability to assess complex governance issues and provide strategic solutions.


Communication and Interpersonal Skills:

  • Excellent written and verbal communication skills, with the ability to effectively convey complex concepts to diverse audiences.
  • Strong interpersonal skills and the ability to build rapport and trust with clients and stakeholders at all levels.


Project Management Abilities:

  • Demonstrated ability to manage multiple projects simultaneously, prioritize tasks, and meet deadlines.
  • Experience in leading and coordinating cross-functional teams to deliver governance advisory services effectively.


Ethical Conduct:

  • Commitment to upholding the highest ethical standards and maintaining confidentiality in all client interactions.
  • Integrity and professionalism in providing impartial advice and recommendations in the best interests of clients.


Remuneration: NGN
300,000 per month - 500,000 per month
