The Legal & Compliance Officer is responsible for ensuring that Eco-Origin Investment Limited operates in full compliance with applicable laws, regulations, internal policies, and industry standards. The role serves as the Company's focal point for legal advisory, regulatory compliance, corporate governance, policy enforcement, risk mitigation, and ethical conduct.

Responsibilities:

Legal Advisory & Corporate Governance:

  • Provide timely legal advice and guidance to Management on business operations, employment matters, contracts, and regulatory issues.
  • Review, draft, negotiate, and manage contracts, agreements, memoranda, and legal documents.
  • Ensure all company contracts adequately protect the organization's interests.
  • Monitor legal developments and advise Management on emerging regulatory requirements.
  • Coordinate legal responses to disputes, litigation, claims, and regulatory inquiries.
  • Liaise with external legal counsel where necessary.
  • Maintain the Company's legal records and documentation repository.


Regulatory Compliance:

  • Ensure compliance with all applicable laws, regulations, licensing requirements, and industry standards.
  • Monitor and track regulatory obligations affecting the Company's operations.
  • Develop and maintain compliance monitoring frameworks.
  • Conduct periodic compliance reviews and assessments.
  • Prepare compliance reports for Management.
  • Support regulatory audits, inspections, and examinations.
  • Ensure timely filing and submission of all statutory and regulatory requirements.


Policy Management & Internal Compliance:

  • Review, develop, and update company policies, procedures, and governance frameworks.
  • Ensure organizational policies remain aligned with legal and regulatory requirements.
  • Monitor employee adherence to internal policies and procedures.
  • Conduct periodic compliance checks across departments.
  • Identify policy breaches and recommend corrective measures.
  • Escalate significant compliance concerns to Management.


Employee Conduct & Ethics Compliance:

  • Monitor compliance with the Company's Code of Conduct and workplace ethics standards.
  • Promote a culture of professionalism, integrity, accountability, and ethical behavior.
  • Investigate allegations of misconduct, policy violations, fraud, conflicts of interest, and unethical conduct.
  • Collaborate with Human Resources and Internal Control on disciplinary investigations and employee compliance matters.
  • Provide recommendations on disciplinary actions arising from policy breaches.
  • Ensure disciplinary processes comply with applicable labor laws and internal policies.


Risk Management:

  • Identify legal, compliance, and operational risks that may impact the organization.
  • Recommend risk mitigation strategies and controls.
  • Participate in enterprise risk assessments and internal control reviews.
  • Monitor compliance-related risk indicators and trends.
  • Support Management in implementing corrective and preventive actions.


Training & Awareness:

  • Conduct legal and compliance awareness training for employees.
  • Educate staff on company policies, regulatory obligations, ethical conduct, and governance standards.
  • Develop compliance communication materials and guidance notes.
  • Promote awareness of reporting channels for compliance concerns and policy violations.


Reporting & Documentation:

  • Maintain accurate records of compliance activities, investigations, and regulatory correspondence.
  • Prepare periodic compliance and legal risk reports for Management.
  • Document policy breaches, investigations, and resolutions.
  • Maintain confidentiality of sensitive legal and compliance information.


Requirements:

  • Minimum qualification of BSC
  • 3 years of previous experience in a similar role


Key Performance Indicators:

  • Regulatory compliance rate.
  • Number of policy violations identified and resolved.
  • Timeliness of contract review and legal advisory services.
  • Compliance audit findings and closure rate.
  • Employee compliance training completion rate.
  • Reduction in legal and regulatory risks.
  • Timeliness of regulatory filings and submissions.
  • Effectiveness of policy implementation and enforcement.
  • Investigation completion timelines.
  • Management satisfaction with legal and compliance support.
