Job summary
In-House Counsel / Legal Officer. To provide legal advisory services, ensure regulatory compliance, manage legal risks, protect the Company's interests in all transactions, and support the execution of construction, real estate development, infrastructure, and commercial projects.

Responsibilities:
Legal Advisory:
- Provide timely legal advice to Management and the Board on corporate, commercial, real estate, labour, and regulatory matters.
- Interpret applicable laws, regulations, policies, and contractual obligations affecting the Company.
Contract Management:
- Draft, review, negotiate, and manage construction contracts, EPC agreements, consultancy agreements, joint venture agreements, lease agreements, sale agreements, and procurement contracts.
- Ensure all contracts adequately protect the Company's legal and commercial interests.
Real Estate & Property Matters:
- Conduct legal due diligence on land acquisitions and development projects.
- Facilitate perfection of title documents, registrations, assignments, leases, powers of attorney, and related instruments.
- Liaise with AGIS, State Land Registries, Ministries, and relevant government agencies.
Regulatory Compliance:
- Ensure compliance with applicable laws and regulatory requirements.
- Manage statutory filings and corporate records.
- Liaise with regulators, government agencies, and professional bodies.
Litigation & Dispute Resolution:
- Coordinate litigation matters and manage external solicitors.
- Represent the Company's interests in negotiations, mediations, and dispute resolution processes.
- Monitor and report on all pending legal matters.
Corporate Governance:
- Support Board and Committee meetings.
- Prepare Board resolutions, notices, minutes, and governance documentation.
- Maintain statutory registers and corporate records.
Risk Management
- Identify legal and regulatory risks associated with projects and operations.
- Recommend mitigation measures and compliance strategies.
- Monitor changes in laws affecting the business.
Procurement & Commercial Support:
- Review tender documents, procurement contracts, and vendor agreements.
- Advise on project financing arrangements and strategic partnerships.
Key Deliverables:
- Timely review and execution of contracts.
- Compliance with statutory and regulatory requirements.
- Effective management of legal risks and disputes.
- Proper maintenance of corporate records and governance documentation.
- Timely completion of title perfection and regulatory approvals.
Requirements:
- LL.B and B.L.
- Membership of the Nigerian Bar Association.
- Minimum of 3–5 years post-call experience in corporate, real estate, construction, or commercial law.
Key Performance Indicators (KPIs):
- Number of contracts reviewed and processed within agreed timelines.
- Percentage compliance with statutory obligations.
- Reduction in legal and regulatory exposure.
- Timely resolution of disputes and litigation matters.
- Successful completion of title documentation and registrations.
