Job Summary

Our client is a Group of companies with over 3 decades of business operations in areas such as power generation, real estate, construction and automobile. The Group has so far established itself as a renowned and trusted brand providing reliable, top-quality solutions for Nigerians. As the Head of Legal and Compliance, you will lead and oversee all legal and compliance activities across the company's offshore, local, and international entities.

Job Description/Requirements

Responsibilities:
Leadership and Management
  • Develop and implement the strategic direction for the legal and compliance function.
  • Lead, mentor, and manage a team of legal and compliance professionals.
  • Ensure the alignment of the legal and compliance strategy with the overall business objectives

Legal Advisory

  • Provide expert legal advice to the executive team and board of directors on a broad range of issues, including corporate governance, mergers and acquisitions, contracts, employment law, and regulatory matters.
  • Oversee the drafting, review, and negotiation of all critical contracts and agreements.

Compliance Oversight

  • Design, implement, and maintain a robust compliance program to ensure adherence to all applicable laws, regulations, and internal policies.
  • Conduct regular compliance audits and risk assessments.
  • Stay abreast of changes in laws and regulations that may impact the company and ensure proactive compliance measures are in place.

Risk Management

  • Identify and mitigate legal and compliance risks across all business units.
  • Develop and implement policies and procedures to manage risk effectively.
  • Handle any legal disputes, litigation, or investigations, and manage relationships with external legal counsel.

International and Cross-Border Operations:

  • Oversee legal and compliance matters related to the company's offshore, local, and international operations, ensuring all activities are compliant with local, regional, and international laws.
  • Coordinate with local legal and compliance teams in different jurisdictions to manage and harmonize global compliance efforts.

Stakeholder Engagement:

  • Act as the primary liaison with regulatory authorities and other external stakeholders.
  • Build and maintain strong relationships with key stakeholders, including senior management, board members, and external partners.


Policy Development:

  • Develop and implement corporate policies and procedures to ensure ethical business practices.
  • Promote a culture of compliance and integrity within the organization.

Training and Education:

  • Lead training programs for employees on legal and compliance matters to foster a culture of compliance.
  • Provide ongoing education and updates to the executive team and board on relevant legal and compliance issues.

KPIs:
  • Litigation success rate: Percentage of favorable outcomes in legal proceedings
  • Stakeholder satisfaction: Feedback from internal stakeholders (e.g., board members, executives) on the quality and timeliness of legal and compliance support.
  • Team performance metrics: Performance evaluations and goal achievement rates of the legal and compliance team
  • Process improvement initiatives: Number and impact of implemented process improvements within the legal and compliance function. ▪ Contract turnaround time: Average time taken to review and finalize contracts and agreements
  • Cross-border compliance adherence: Number of compliance issues or breaches in international operations.

Requirements
  • LL. B Degree from an accredited institution. LL.M from an accredited University is an added advantage
  • Minimum of 15 years of experience in legal and compliance roles, with at least 5 years in a leadership positio
  • Proven experience at a multinational is essential.
  • Demonstrated experience managing legal and compliance functions in a multinational organization.

Soft skills
  • Strong leadership and managerial skills.
  • Excellent analytical and problem-solving abilities.
  • Outstanding communication and interpersonal skills.
  • Deep understanding of international legal and regulatory frameworks.
  • Ability to work effectively in a fast-paced, dynamic environment.

Trainings:
  • Regular training for personnel development
