Job summary

The Company Secretary is responsible for ensuring the Company complies with all applicable legal, regulatory, and corporate governance requirements. The role serves as a trusted adviser to Executive Management and the Board, providing legal guidance, overseeing statutory compliance, managing corporate records, and supporting the Company.

Job descriptions & requirements

Responsibilities:

  • Ensure compliance with the Companies and Allied Matters Act (CAMA) and other applicable laws and regulations.
  • Maintain statutory registers, corporate records, licences, permits, and regulatory filings.
  • Coordinate Board and Executive Management meetings, including agendas, board papers, minutes, and implementation of resolutions.
  • Advise Management and the Board on corporate governance, legal, and regulatory matters.
  • Draft, review, and negotiate commercial contracts, including supplier, distributor, employment, and confidentiality agreements.
  • Identify and mitigate legal and governance risks, providing practical legal advice to support business decisions.
  • Liaise with regulatory authorities, including CAC, NAFDAC, SON, and external legal counsel where necessary.
  • Maintain an effective contract management system and ensure proper legal documentation and record retention.
  • Promote a culture of compliance and support strategic business initiatives from a legal perspective.

 

 Requirements:

  • LL.B. and Barrister-at-Law (B.L.) with a valid licence to practise in Nigeria.
  • Membership of the Chartered Governance Institute of Nigeria (CGI Nigeria/ICSAN) is an advantage.
  • Minimum of 8–10 years' post-call legal experience, with at least 5 years as a * Company Secretary or in a corporate governance role.
  • Strong knowledge of CAMA, Nigerian corporate governance, commercial contracts, and regulatory compliance.
  • Experience in the manufacturing or FMCG sector and dealing with CAC, NAFDAC, and SON is an added advantage.
