Senior Legal Counsel
Job summary
We are seeking an accomplished legal professional who will serve as the Group's principal legal adviser, providing strategic legal guidance while safeguarding the Company's business interests across all operations. He/She must possess strong commercial awareness, excellent negotiation skills, and substantial experience in corporate legal practice.

Responsibilities:
Corporate Governance:
- Provide legal advice to Executive Management and the Board.
- Ensure compliance with all applicable Nigerian laws and regulations.
- Prepare Board resolutions, corporate governance documents, and statutory filings.
- Maintain corporate records and legal documentation.
- Advice on company restructuring, mergers, acquisitions, and corporate transactions.
Commercial & Contract Management:
- Draft, review, negotiate, and manage commercial agreements including: Supply Agreements, Distribution Agreements, Vendor Contracts, Employment Contracts, Joint Venture Agreements, Non-Disclosure Agreements (NDAs), Memoranda of Understanding (MOUs), Service Agreements, Construction Contracts, Procurement Contracts, Lease Agreements
- Identify legal and commercial risks in contracts.
- Ensure contractual obligations are properly managed.
Litigation & Dispute Management:
- Coordinate and supervise all litigation involving the Group.
- Liaise with external solicitors and legal consultants.
- Develop litigation strategies that minimize business disruption.
- Manage debt recovery and legal enforcement actions.
- Represent the Company during negotiations and dispute resolution where appropriate.
Regulatory Compliance:
- Ensure compliance with the CAC regulations, FIRS requirements, Immigration regulations, Labour Laws, Tax Laws, Industry-specific regulations, Environmental regulations, and Corporate governance standards
- Monitor changes in legislation affecting the business.
- Develop compliance policies and legal risk frameworks.
Employment & Labour Relations:
- Advise HR on disciplinary matters.
- Review disciplinary procedures.
- Draft HR policies from a legal perspective.
- Manage employment disputes.
- Ensure labour law compliance.
- Support collective negotiations where required.
Risk Management:
- Identify legal risks across business operations.
- Develop preventive legal strategies.
- Advise management on legal implications of business decisions.
- Maintain legal risk registers.
Intellectual Property:
- Protect company trademarks.
- Manage intellectual property registrations.
- Prevent infringement of the company's intellectual assets.
- Advice on confidentiality and trade secrets.
Property & Real Estate:
- Review property acquisition documents.
- Conduct legal due diligence.
- Prepare and review lease agreements.
- Resolve land-related legal issues.
Company Secretarial Support:
- Coordinate statutory filings.
- Maintain statutory registers.
- Ensure timely compliance with regulatory filings.
- Support Board and shareholder meetings.
Requirements:
- Minimum of a BSC
- 4 years of previous experience in a similar role
