Legal Counsel

Responsibilities:

• Draft and Negotiate Software Agreements: Write, review, and negotiate complex SaaS agreements, software licensing contracts, Service Level Agreements (SLAs), and IT procurement contracts.
• Protect Intellectual Property (IP): Manage IP clauses, source code ownership rights, and confidentiality terms across all commercial deals.
• Ensure Regulatory & Data Compliance: Oversee compliance with data privacy regulations (such as GDPR, CCPA, or local data protection acts) related to software and user data.
• Corporate Governance: Prepare minutes, maintain corporate records, manage board resolutions, and ensure the company meets all statutory filing obligations.
• Advise Leadership: Provide clear, actionable legal advice to executive, product, and engineering teams regarding commercial risks and business strategies.
• Manage Outside Counsel: Coordinate with external specialized law firms when handling complex litigation, major tax matters, or large-scale financing rounds.

Requirements:

• Juris Doctor (JD), LLB, or equivalent law degree from an accredited law school.
• Active license and in good standing with the state / Nigerian Bar Association.
• 3-5 years of corporate legal experience within a law firm or as in-house counsel, with a strong background in technology transactions.
• Deep understanding of commercial contract law, intellectual property rights, indemnification clauses, and limitations of liability.
• Outstanding written and verbal communication, sharp negotiation skills, analytical thinking, and the ability to explain complex legal issues in simple terms.
