Job Title: Legal Counsel - Agro Commodity Trading
Location: Lagos State, Nigeria Employment Type: Full-Time
Work Model: Remote
Net Salary: ₦400,000 - ₦500,000 per month (Based on experience)
Job Summary
The Legal Counsel will provide legal, regulatory, and commercial support for the Company's agro commodity trading operations. The role is responsible for drafting and negotiating commercial agreements, ensuring compliance with applicable laws and industry regulations, mitigating legal risks, managing disputes, and supporting local and international trade transactions. The ideal candidate should possess strong knowledge of commercial law, contract law, international trade, and the agricultural commodities sector.
Key Responsibilities
Commercial Contracts
- Draft, review, negotiate, and manage contracts relating to the purchase, sale, storage, transportation, and export of agricultural commodities.
- Prepare supplier agreements, buyer agreements, agency agreements, logistics contracts, warehouse agreements, and service contracts.
- Ensure contracts adequately protect the Company's commercial interests.
Legal Advisory
- Provide timely legal advice to management on commercial transactions and business decisions.
- Advise on legal risks associated with domestic and international commodity trading.
- Interpret laws, regulations, and contractual obligations affecting the Company's operations.
Regulatory Compliance
- Ensure compliance with Nigerian laws governing agricultural trade, exports, taxation, customs, and corporate governance.
- Monitor changes in relevant legislation and advise management accordingly.
- Support compliance with regulatory agencies including export promotion authorities, customs, and quality regulatory bodies.
Trade & Export Support
- Review export documentation from a legal perspective.
- Advise on Incoterms, letters of credit, trade finance documentation, and international commercial transactions.
- Support negotiations with international buyers and suppliers.
Risk Management
- Identify legal and commercial risks within trading operations.
- Recommend mitigation strategies and internal controls.
- Conduct legal due diligence on vendors, buyers, agents, and strategic partners.
Dispute Resolution
- Handle legal disputes, debt recovery, claims, arbitration, mediation, and litigation.
- Liaise with external counsel where necessary.
- Represent the Company during negotiations relating to disputes.
Corporate Governance
- Ensure statutory filings and corporate records remain up to date.
- Maintain legal documentation and company registers.
- Support board meetings and corporate governance activities where required.
Policy Development
- Develop and review legal policies, compliance procedures, and contractual templates.
- Train employees on legal compliance and contractual obligations.
Qualifications
- LL.B from a recognized university.
- Barrister-at-Law (B.L.) and qualified to practice in Nigeria.
- Membership of the Nigerian Bar Association (NBA).
- A postgraduate qualification in Commercial Law, International Trade Law, Maritime Law, or a related field is an added advantage.
- Minimum of 5 years' post-call experience, with at least 3 years in agro commodity trading, agribusiness, export, logistics, or commercial transactions.
- Experience handling international trade contracts and commercial negotiations.
- Practical knowledge of commodity trading operations is highly desirable.
This role is particularly suited to a lawyer with experience in commercial transactions, export operations, and agricultural commodity trading who can serve as a strategic legal partner to the business while protecting the Company's interests across the commodity value chain.
